1. General Provisions
1.1. This document is a public offer (hereinafter – the “Offer”) in accordance with Articles 633, 641, 642 of the Civil Code of Ukraine (CCU) and the Rules for the Sale of Goods by Order and Outside Commercial or Office Premises, approved by the Order of the Ministry of Economy of Ukraine dated April 19, 2007 No. 103, addressed to an indefinite number of persons, regarding the conclusion of a contract for the provision of information and consulting services.
1.2. Acceptance of the Offer (payment/application/registration) means full and unconditional acceptance of its terms.
1.3. Use of the Website and receipt of Services are governed by this Offer and the current legislation of Ukraine. In case of disagreement with the terms – please stop using the Website.
1.4. The Company may amend the Offer by publishing a new version on the Website. The valid version is the one posted on the Website at the time of acceptance. Active subscribers may receive notifications of significant changes by e-mail.
2. Terms and Definitions
2.1. Company (Contractor) – FOP Gonchar Maryna Mykolaivna, providing Services defined by this Offer.
2.2. User (Participant) – an adult individual who has accepted the Offer and paid for the Services.
2.3. Services – online webinars (Zoom), access to recordings (closed YouTube link/restricted access page), participation in the Telegram community, individual consultations, and other related informational and educational services.
2.4. Subscription – paid access to part/all Services on a regular basis with automatic renewal (recurring payments), according to the tariff plan (Basic / Premium / VIP).
2.5. One-time Pass – one-time paid access to a specific webinar/recording without subscription.
2.6. Content – Company materials (audio/video, texts, images, etc.), including event recordings, protected by intellectual property law.
3. Subject of the Agreement
3.1. The Company provides the User with informational and educational Services in the formats specified in clause 2.3, according to the selected tariff/order; the User pays for the Services and complies with this Offer.
3.2. The Company’s Services are not medical or therapeutic; they are provided for informational and educational purposes only.
4. Channels of Access
4.1. Webinars: access is provided via Zoom link sent to the e-mail or messenger specified during registration.
4.2. Recordings: access is provided via unlisted YouTube links or through restricted access pages. Sharing links/access with third parties is prohibited.
4.3. Telegram Community: an invite link is provided after payment confirmation of the corresponding tariff.
4.4. The User is responsible for the accuracy of contact details and proper functioning of their e-mail/messengers and spam filters.
5. Subscription and Recurring Payments
5.1. Subscription is paid with automatic renewal (recurring charges), unless otherwise specified on the Website.
5.2. The date of the first charge corresponds to the date of initial payment; subsequent charges occur at the same intervals.
5.3. Cancellation is possible at any time through payment provider settings (if available) or by e-mail request to the Company; access remains until the end of the paid period.
5.4. Payments for past subscription periods are non-refundable. After cancellation, no new charges occur.
5.5. The list of Services in each tariff (Basic / Premium / VIP) is published on the Website and may be updated.
6. Payment, Currency, Prices
6.1. The cost of Services is determined according to tariffs/offers on the Website.
6.2. Payment is accepted in euros (EUR) or hryvnia (UAH) at the NBU exchange rate on the payment date (unless otherwise indicated).
6.3. Payments are processed via secure payment providers available on the Website. Payment system/bank commissions may apply.
6.4. The fact of payment confirms acceptance of this Offer.
6.5. Prices reflect the FOP tax regime under Ukrainian law (clarified on the Website/invoice if applicable).
7. Procedure, Volume and Terms of Services
7.1. Schedule, topics, duration of events and package compositions are published on the Website.
7.2. The Company may change the date/time of events by notifying via e-mail/messenger at least 12 hours before start (except force majeure).
7.3. If an event is cancelled by the Company: the User receives rescheduling/access to a recording at no extra cost; if no alternative is possible – a refund is provided for the cancelled event.
7.4. Access to materials included in a tariff/one-time pass is granted within the paid period/conditions of the specific event.
8. Rights and Obligations of the Parties
The Company undertakes to:
Provide access to paid Services on time/in the stated format.
Inform the User about payment/access (via e-mail or agreed channel).
Maintain access channels within its area of responsibility.
The Company has the right to:
Update/change Services (without significantly reducing value within paid period).
Refuse/limit access in case of violations of this Offer.
Block access for sharing links (Zoom/YouTube/Telegram), unauthorized recording/retransmission, or other rights violations.
The User undertakes to:
Provide accurate data and timely payment.
Follow community rules and not disclose shared links/materials.
Not record/broadcast events or distribute content without written consent.
Check e-mail/spam/messengers for access/notifications.
The User has the right to:
Receive Services of proper quality.
Submit requests/claims as per this Agreement.
9. Community Rules (Telegram)
9.1. Prohibited: bullying, hate speech, discrimination, spam, commercial advertising without consent, publishing personal data/materials of others without consent.
9.2. Violations may result in access restrictions/termination without refund.
10. Medical and Age Disclaimers
10.1. The Services are not medical and do not replace professional healthcare advice.
10.2. Physical/breathing practices (pilates/yoga, etc.) are performed at the User’s own risk; prior consultation with a doctor is recommended.
10.3. Services are intended for adults (18+).
11. Intellectual Property and Recording Ban
11.1. All Content is the intellectual property of the Company (or used with permission) and is protected by law.
11.2. Access does not transfer IP rights; only personal non-commercial use is allowed.
11.3. Prohibited: recording/retransmitting events, screencasting, re-uploading materials, sharing links/access with third parties. Violations result in immediate termination of access without refund and potential additional claims.
12. Refund Policy
12.1. Refund request must be submitted in writing (scan/photo of signed request) to e-mail:
[email protected], including: full name, e-mail, service name, payment date/amount, reason for refusal, proof of payment.
12.2. Online webinars:
Cancellation at least 24 hours before start → 100% refund (minus commissions).
If access (Zoom link) was provided or participant no-show without notice → no refund.
12.3. Recordings/one-time passes: once access (YouTube link/page) is provided, refunds are not available.
12.4. Individual consultations: may be rescheduled once with at least 24 hours’ notice; otherwise – no refund.
12.5. Subscriptions: past periods are non-refundable; cancellation stops future charges; access remains until end of paid period.
12.6. Refunds are made via the same payment method within 30 calendar days after receipt of a properly completed request. The Company may extend review up to 21 days for verification.
12.7. No refunds if access (Zoom/YouTube/Telegram) was provided or the User did not use the Service for reasons beyond the Company’s control.
13. Dispute Resolution
13.1. Claims must be submitted by e-mail indicated in this Offer; review period – up to 10 business days.
13.2. Before initiating chargeback with a bank/payment provider, the User must first submit a claim to the Company and allow a reasonable response time. The Company has the right to provide evidence of proper service delivery.
13.3. Unresolved disputes shall be settled in court under Ukrainian law.
14. Force Majeure
14.1. Parties are exempt from liability for non-performance caused by force majeure under Ukrainian law. Term of performance is postponed accordingly.
14.2. If force majeure lasts more than 30 calendar days, either Party may terminate this Agreement by written notice 10 days in advance.
15. Liability
15.1. The User is responsible for accuracy of data, compliance with this Offer, safekeeping of access credentials, and avoiding violations of Company/third-party rights.
15.2. The Company does not guarantee any specific results; outcomes depend on individual factors.
15.3. The Company is not liable for failures of services beyond its control (e-mail, messengers, video hosting, etc.).
15.4. In case of violation, the Company may terminate/restrict access without refund and/or claim damages.
16. Privacy and Personal Data
16.1. Processing of personal data is governed by the Privacy Policy and Cookies Policy published on the Website.
16.2. By accepting this Offer, the User consents to personal data processing necessary for Service provision.
17. Language, Version and Validity
17.1. The Offer may be available in several languages; in case of discrepancies, the Ukrainian version prevails.
17.2. The effective date and version of the Offer are specified at the beginning of the document.
17.3. The Offer remains valid until revoked/replaced by the Company.
18. Final Provisions
18.1. The Agreement is deemed concluded upon acceptance and remains valid until Services/subscription end or terminated under this Offer.
18.2. Matters not covered by this Offer are governed by Ukrainian law.
